RETIREMENT OF MR. MARK SANDYS OF THE BOARD OF DIRECTORS OF GUINNESS NIGERIA PLC AND APPOINTMENT OF MRS. GRAINNE WAFER AS NON-EXECUTIVE DIRECTOR OF THE COMPANY

This is to inform the Nigerian Exchange Limited, the investing public and other interested parties of the retirement of Mr. Mark Sandys from the Board of Guinness Nigeria Plc effective 25th ofthe January 2023.

Mr. Mark Sandys was appointed to the Guinness Nigeria Board on the 30th ofthe August 2017. Until his retirement, he served as a valued member of the Board’s Nominating, Governance and Compensation Committee.

The Guinness Nigeria Plc Board wishes to express its appreciation to Mr. Mark Sandys for his innovative contributions, strong strategic drive and commitment to the success of the Company and wishes him well as he assumes his new role within Diageo.

On a related note, the Company announces the appointment of Ms Grainne Wafer as a Non-Executive Director on the Board of Guinness Nigeria Plc effective 25the January 2023.

Ms Wafer, Current Global Brand Director for Diageo, Guinness and Malta Guinness is a global business leader recognized for strategic interventions that drive transformational performance results. She brings extensive marketing experience to the Board, having held leadership roles in commercial, innovation and marketing functions within Diageo’s business.

The Board is optimistic that Ms. Wafer’s invaluable experience and passion for inclusion and diversity would be of great benefit in driving improved performance and sustainable business growth for the Company.
